Ask a questionChecking and reserving the name of a legal entity is a public service intended for people who intend to officially register or change the name of a legal entity (enterprise, institution, non-commercial organisation, etc.) and consists of ensuring that the chosen name is available and meets the specific legal requirements.
The online service, in a pilot phase, is available exclusively for:
- Non-commercial organisations;
- Limited liability companies (LLC);
- Joint-stock companies (JSC).
Checking the availability of the name
In the process of checking the name, its uniqueness is ensured by avoiding conflicts with the names of legal entities already registered in the state register.
Reuse of a name is allowed only after 2 years have passed since the legal entity was removed from the state register.
The name is reserved for a period of 6 months, during which the applicant can complete the procedures for registration or for changing the name.
General conditions for reserving the name
The name can be reserved if:
- it does not coincide with and is not similar to the name of another registered legal entity;
- it does not coincide with a trademark registered in the Republic of Moldova or with a well-known foreign trademark;
- where the name of a well-known individual or other proper names that do not coincide with the names of the founders are used, there is the written consent of that person or of their heirs;
- if the name contains the official or historical name of an administrative-territorial unit, there is the decision of the local council on the agreement to use it;
- the name does not contravene moral norms.
Special conditions
For all organisational forms, except non-commercial organisations, the following conditions also apply:
- the use of the official or historical name of the state, as well as of its abbreviations or derivatives, is permitted only with the appropriate permission;
- the name must not contain names of central or local public administration authorities and must not suggest, directly or indirectly, that the legal entity belongs to these authorities.
